Robert Wayne Pearce Is Committed to Recovering Your Investment Losses
FINRA Rule 2111 is the suitability rule. It requires a broker to have a reasonable basis to believe that a recommended transaction or investment strategy is suitable for the customer. In the context of the complaints listed above, that rule is relevant to the allegations that Stout recommended an unsuitable mutual fund and an unsuitable variable annuity. If those allegations were proven, the issue would be whether the recommendations matched the customer’s investment profile, objectives, risk tolerance, liquidity needs, and financial ability to bear the recommendation.
FINRA Rule 2010 requires associated persons and member firms to observe high standards of commercial honor and just and equitable principles of trade. That rule is commonly implicated when a customer alleges unauthorized trading, disregard of client instructions, or falsified or forged account documentation. In Stout’s case, the pending arbitration alleging unauthorized trades and the earlier complaint alleging forged initials on a variable annuity application both raise the type of conduct that, if proven, could fall within Rule 2010’s broad ethical standards.
FINRA Rule 4511 requires firms to make and preserve books and records required under FINRA rules and the federal securities laws. In a case involving alleged forged initials, disputed authorization, or disagreement over whether instructions were properly followed, books and records can become central evidence. Here, the complaints involving alleged forged annuity paperwork and unauthorized trading would make account forms, trade records, communications, and supervisory documentation especially important in determining what authority existed, what was recommended, and what the customer actually approved.
