Further, FINRA found that Mr. Johnson gave the customers written materials, including a brochure, upon which he had handwritten “$5 to $9 million” to indicate the expected profit to the customers.  Additionally, Mr. Johnson allegedly provided the customers another handwritten note stating that the company would have an immediate profit of $20 million, of which their portion would be $2 million, within three years. According to FINRA, Mr. Johnson also omitted material facts which he was aware of regarding the investment.  He omitted the fact that the company had sold the same interest to other investors for substantially less; that one of the company’s original investors had been indicted on Ponzi scheme charges; and that the company had $8.3 million in outstanding debt from two loans. Chesterton, Indiana Securities Misrepresentation Attorney

Additionally Mr. Morgan allegedly referred another Uhlmann Price Customer to invest $30,000 in a convertible promissory note. FINRA alleged that Mr. Morgan did not receive written authorization to execute any of these outside business activities and therefore violated NASD Rule 3040. In addition to the undisclosed business activities, FINRA also found that Mr. Morgan made several material misrepresentations. FINRA found that Mr. Morgan made material misrepresentations and omissions to potential investors though a document he provided to future clients. The document allegedly falsely stated the transaction history of a corporate entity, overstated its revenue, and inaccurately projected high returns with low risk. Monsey, New York Securities Misrepresentation Attorney

Did Harry Rosenberg Cause You Investment Losses? Harry Rosenberg of Monsey, New York submitted a Letter of Acceptance, Waiver and Consent to the Financial Industry Regulatory Authority in which he was fined $8,000 and suspended for a period of two months. The sanctions were based on findings that Rosenberg allegedly failed to amend his Form U4 to disclose a civil litigation in violation of Article V, Section 2(c) of FINRA’s By-Laws and FINRA Rules 1122 and 2010. The suspension was in effect from October 5, 2020, through December 4, 2020. In January 2011, Harry Rosenberg joined Voya Financial Advisors, Inc. and was registered as an Investment Company and Variable Contracts Products Representative. The firm later filed a Uniform Termination Notice (Form U5) disclosing that Rosenberg had been discharged due to misconduct. According to FINRA’s findings, an investor who was not a customer of Voya filed a complaint stating that both the firm and Rosenberg made misstatements regarding an investment in a gold mining company. The findings stated that Rosenberg allegedly failed to inform the firm that he had been sued and failed to amend his Form U4 to disclose the litigation. In addition, Rosenberg falsely attested whether he had been the subject of any litigation on the firm’s annual compliance questionnaires. Although Rosenberg is not currently associated with a FINRA member, he remains subject to FINRA’s jurisdiction. Article V, Section 2(c) of FINRA’s By-Laws requires that associated persons keep their Form U4 “current at all times,” and that amendments be filed “not later than 30 days after learning of the facts or circumstances giving rise to the amendment.” FINRA Rule 1122 states that “[n]o . . . person associated with a member shall file with FINRA information with respect to . . . registration which is incomplete or inaccurate so as to be misleading, or which could in any way tend to mislead, or fail to correct such filing after notice thereof.” A violation of Rule 1122 also violates Rule 2010. Georgia Securities Misrepresentation Attorney

Huel Cox Jr., a former broker at Duluth, Georgia based PFS Investments, Inc., submitted a Letter of Acceptance, Waiver and Consent in which he agreed to, without admitting or denying, the described sanction and the entry of the Financial Industry Regulatory Authority’s (FINRA) findings that he misappropriated a customer’s funds for his own personal use.  According to FINRA, Mr. Cox solicited a friend, who was also a customer of his member firm, to make various investments in real estate and a casino.  The customer consented to make the investments and, over several years, wrote personal checks payable to Mr. Cox.  FINRA’s findings stated that Mr. Cox did not make any of the promised real estate investments for the customer.  Further, FINRA found that Mr. Cox misappropriated at least $206,398.89 of the customer’s funds for his own personal use without the customer’s consent.  Mr. Cox, of Phoenix, Arizona, was prohibited from associating with any FINRA member in any capacity.
