Did Michael J. Wiseman Cause You Investment Losses? Michael Jeffery Wiseman, broker formerly employed by Boston, Massachusetts-based LPL Financial LLC, submitted a Letter of Acceptance, Waiver and Consent in which he agreed to, without admitting or denying, the described penalties and the entry of the Financial Industry Regulatory Authority’s (FINRA) findings that he made appearances on a talk radio show in which he made statements relating to a variable annuity that were unfair and unbalanced.  During several of his radio appearances, Mr. Wiseman generally referenced a variable annuity he had recommended to his clients.  Mr. Wiseman’s comments focused on the guarantees offered by the variable annuity, particularly the guarantee against loss of principal, claiming the investor “can’t lose money.”  During some of those appearances, Mr. Wiseman noted that the variable annuity was not Federal Deposit Insurance Corporation (FDIC) guaranteed and that the investor would have to hold the product for 10 years so as to receive the guarantee against loss of principal.  Mr. Wiseman then encouraged listeners to call him for more information about the product, stating “we’ll find out if this is an appropriate investment for you.”  In discussing the variable annuity, however, Mr. Wiseman did not explain that any such guarantees were dependent on the paying ability of the annuity’s issuer.  FINRA found, Mr. Wiseman also did not disclose other material aspects of the investments, such as the negative tax and investment consequences resulting from early withdrawals and the fees, expenses, and surrender charges that investors may need to pay.  Mr. Wiseman of Hermitage, Pennsylvania was fined $5,000 and suspended from association with any FINRA member in any capacity for 10 business days.  Do You Need a Securities Arbitration Lawyer? According to FINRA, Ms. Perdue sent misleading email communications to some customers that failed to disclose material information about the securities she recommended, included incorrect and/or misleading information, contained predictions and/or projections of future price performance for securities, and failed to include a reasonable basis for her recommendations.  Further, FINRA found that Ms. Perdue made material misrepresentations to customers when she made improper price predictions and promised unrealistic returns pertaining to certain over-the-counter securities she recommended to the customers.  Additionally, FINRA found that Ms. Perdue recommended and sold a low-priced, over-the-counter security to customers who were seniors.  When Ms. Perdue made the recommendations and sales, she had no reasonable grounds to believe that the recommendations were suitable based on each customer’s other security holdings, financial situation, and needs. Stamford, Connecticut FINRA Securities Arbitration Attorney

Did Paul Steffany Cause You Investment Losses? Paul Steffany of Stamford, Connecticut submitted an AWC to FINRA for allegedly falsifying documents and converting funds for his own personal use. Mr. Steffany was terminated from FINRA member firm Raymond James after violating company policy. FINRA claimed that between 2007 and 2014, Mr. Steffany, converted at least $112,742 that were excessive and inconsistent with the limited nature of his duties. Upon FINRA and Raymond James launching an investigation, Mr. Steffany refunded $112,742 and resigned as the trustee. FINRA found that Mr. Steffany violated FINRA Conduct Rules 2010, 2110, and 2330. The findings stated that after the offering was closed, the firm began contacting investors to reduce their subscription amounts because it exceeded the maximum share cap. The findings stated that due to the cancellations, 4,525 shares were returned to ViewTrade and sold to two investors who gained a profit of $30,428.75 instead of the 17 investors who had unfilled orders. In addition, ViewTrade allegedly failed to provide trade confirmations to 113 investors in the offering. FINRA Rule 5131 governs new issue allocations and distributions. Specifically, Rule 5131(d)(3) addresses circumstances when new issue shares, trading at a premium in the secondary market, are returned to the agent or underwriter who participated in the distribution of the shares. Under that section, the member firm participating in a distribution of new issue shares is required to have an agreement in place to appropriately handle “any shares trading at a premium to the public offering price that are returned by a purchaser . . . after secondary market trading commences.” The Rule requires that when such shares are returned, the firm must use them to offset any existing syndicate short position or, if no short position exists, either (1) offer the returned shares “at the public offering price to unfilled customers’ orders pursuant to a random allocation methodology,” or (2) sell the shares on the secondary market and donate the profits to an unaffiliated charitable organization anonymously to avoid any reputational benefit to the member.
